Offshore account in Dubai: the term conjures up ideas that have little to do with today's reality. In the UAE, offshore means something different from everyday usage, and the expectation of secrecy has come to nothing for years.
Here, offshore refers to a type of company, not a type of account. An offshore company, for example in RAK ICC or JAFZA Offshore, is used to hold shareholdings and assets. It may not carry on operating business in the UAE and does not issue residence visas.
| Feature | Offshore | Free Zone |
|---|---|---|
| Operating business in the UAE | no | yes |
| Residence visas | no | yes |
| Office requirement | no | depends on the zone |
| Bank account in the UAE | possible, but laborious | standard case |
| Corporate Tax registration | to be checked | mandatory |
| Formation costs | low | medium to high |
Banks scrutinise offshore companies particularly closely. Without substance on the ground (no office, no employees, no local business), the bank lacks what it needs to assess the risk. Typically required are:
Some banks reject pure holding entities without operating business from the outset. This is not arbitrary but a consequence of the international anti-money laundering requirements, which oblige banks to apply enhanced due diligence to such structures.
Banking secrecy in the old sense no longer exists in the UAE. The Emirates take part in the automatic exchange of information under the Common Reporting Standard, the register of beneficial owners is in place, and the requirements of the Financial Action Task Force have considerably tightened banks' due diligence practice.
If you are looking for a structure to conceal assets, you will not find it here, and you should not try. If, on the other hand, you want to bundle shareholdings or spread assets across jurisdictions, you have a legitimate use case that can also be presented to your home tax office.
Setting up an offshore company is cheap compared with a free zone. The real costs arise later and are often left out of comparisons.
So do not calculate with the formation costs, but with the total over five years. Only then does it become clear whether the structure economically fulfils its purpose or whether a simpler solution would have been enough.
An offshore company is not a tax-free zone. Whether it has to register for Corporate Tax in the UAE depends on its specific set-up and should be checked in advance; the blanket assumption that offshore means no obligations is wrong.
Even more important is the home country side. For German shareholders, the rules on CFC taxation (Hinzurechnungsbesteuerung) may apply if the company earns passive income and is taxed at a low rate. Without a double tax treaty between Germany and the UAE, there is also no rule that would resolve double taxation. This review must take place before formation.
A structure that cannot be wound up in an orderly manner is a risk. For offshore companies, winding up means: closing the account, transferring assets, deregistering from the register and securing evidence for the home tax office.
If you only plan this step when it is due, you lose time and, in the worst case, documents that are requested years later. So file the documentation from the outset in a way that keeps it complete even after five years.
The offshore company is a tool with a narrow scope. It is cheap to set up and to administer, and that is exactly why it is sold more often than it fits. Providers who promote it as a standard solution usually fail to mention that the bank account is the real bottleneck.
Our experience: if you need an account and a visa, a free zone company gets you there faster and cheaper, even though the licence costs more. The savings on formation evaporate as soon as opening the account takes weeks or fails altogether.
The offshore option only plays to its strengths when a pure holding level is needed and the operating part sits elsewhere. Then it is lean, cost-effective and stable for years.
